Sparq Systems Enters Agreement with Tumi Clean Technologies for African Distribution (TSXV:SPRQ)

Toronto, Ontario — November 6, 2025 — Leads & Copy — Sparq Systems Inc. (TSXV: SPRQ, OTCQB: SPRQF, FSE: M26) has entered into a manufacturer’s authorization and supply agreement with Tumi Clean Technologies Limited and Rolaz Green Energy Pvt. Ltd. for distribution and sale of Sparq microinverters and related products in Ghana, West Africa, and other sub-Saharan African markets.

Tumi Clean Technologies Limited, a subsidiary of CIPA Holdings Group, will purchase Sparq microinverters and related products for distribution and sale in Ghana, West Africa, and other agreed-upon sub-Saharan African markets, following a six-month pilot to validate market readiness. The agreement provides a non-binding framework for Tumi to potentially gain exclusive distribution and installation rights within the sub-Saharan Africa region, contingent upon meeting minimum product order levels.

The agreement also includes a non-binding framework for Tumi to obtain an exclusive license for the assembly of Sparq products in Ghana, with the intention to distribute these products across the sub-Saharan African region from a Tumi-established assembly unit.

Sparq’s CEO, Praveen Jain, said that this agreement is a positive step for the company to bring its innovative products to the African market and highlighted the immediate applicability of their Quad microinverter products to several projects Tumi has in development.

According to Kwaku Osei-Sarpong, Founder, Executive V.P. & Chief Executive Officer, CIPA Holdings Group, the collaboration marks a major step in expanding access to clean-energy technologies across Africa. Tumi Clean Technologies aims to lead the distribution of solar and inverter systems across Ghana and West Africa, while also developing local assembly and manufacturing capabilities. He added that by leveraging the AfCFTA framework, Tumi expects to scale this partnership continent-wide, strengthening supply chains, transferring technology, and promoting African-made clean-energy solutions.

The agreement will last for one year initially and will automatically renew for another thirty days, during which time the parties can extend the agreement or create a new one.

Sparq designs and manufactures single-phase microinverters for residential and commercial solar electric applications. Their proprietary PV solution, the Quad inverter, optimizes four PV modules with a single microinverter, simplifying design and installation and lowering costs.
