Bronco Resources Announces Private Placement to Raise Up to $210,000

December 23, 2025 — Leads & Copy — Bronco Resources Corp. (TSX-V:BRON) will conduct a non-brokered private placement to raise gross proceeds of up to $210,000.

The financing will include up to 2,000,000 flow-through units at $0.055 each, for gross proceeds of up to $110,000. It also includes up to 2,000,000 non-flow-through units at $0.05 each, for gross proceeds of up to $100,000.

Each flow-through unit will consist of one common share that will qualify as a “flow-through share” under the Income Tax Act (Canada) and one-half of one common share purchase warrant. Each whole warrant will be exercisable at $0.10 per share for two years following the financing’s closing.

The company will use the flow-through proceeds to incur eligible Canadian exploration expenses that will qualify as flow-through exploration expenditures. This will advance the Placer Mountain Gold Project in British Columbia. All qualifying expenditures will be renounced in favor of the subscribers of the flow-through shares effective December 31, 2025.

Each non-flow-through unit will consist of one common share and one warrant on the same terms as described above. The company will use the non-flow-through proceeds for general working capital and administrative purposes.

Bronco Resources may pay finders’ fees of 5% cash and 5% finders warrants. Each finder warrant will allow the holder to acquire one additional common share at $0.10 for two years following the financing’s closing, on the same terms as the warrants described above.

All securities issued under the financing are subject to a statutory four-month and one-day hold period from the date of issuance. The financing remains subject to the approval of the TSX Venture Exchange.
