Manning Ventures Announces Share Consolidation
Vancouver, British Columbia — February 11, 2026 — Leads & Copy — Manning Ventures Inc. will consolidate its common shares, effective February 17, 2026, on a ten-for-one basis.
The consolidation will not change the company’s name or stock symbol. The new CUSIP number will be 56389K306, and the new ISIN will be CA56389K3064 for post-consolidation shares.
Currently, Manning Ventures has 57,149,963 common shares issued and outstanding. After the consolidation, the company will have approximately 5,714,996 common shares issued and outstanding, before rounding for fractional shares.
No fractional shares will be issued. Fractional shares resulting from the consolidation will be rounded up or down to the nearest whole share. Outstanding incentive stock options, warrants, and other convertible securities will be adjusted on the same 10:1 basis to reflect the consolidation. Exercise prices will be adjusted proportionately.
The company’s post-consolidation shares are expected to begin trading on the Canadian Securities Exchange on or about February 17, 2026.
Shareholders holding common shares through a securities broker or intermediary and not having common shares registered in their name do not need to take any action regarding the consolidation.
Letters of transmittal regarding the consolidation will be mailed to all registered shareholders. Registered shareholders must send their pre-consolidation share certificates along with a completed letter of transmittal to the company’s transfer agent, Computershare Investor Services Inc.

Shareholders who submit a completed letter of transmittal and their pre-consolidation share certificate(s) to the Transfer Agent will receive a post-consolidation share certificate or Direct Registration Advice representing the post-consolidation shares.
