First Canadian Graphite Closes Private Placement Offering

Montreal, QC — February 17, 2026 — Leads & Copy — First Canadian Graphite Inc. has announced the closure of its private placement offering after receiving approval from the TSX Venture Exchange.

The company successfully placed 9,339,580 units at a price of $0.30 per unit, resulting in gross proceeds of $2,801,874.00. Each unit includes one common share and one-half of a warrant. A full warrant allows the holder to buy one common share at $0.50 for a period of two years.

The funds raised from the financing will be used for general working capital, as well as an exploration and drill program at the Company’s Berkwood Graphite Project, located in northern Quebec. The Company plans to provide updates to shareholders as the project progresses. While the company intends to allocate the proceeds as stated, the Board of Directors retains the right to reallocate funds if deemed necessary for sound business reasons.

In connection with the offering, finder fees totaling $38,802.02 in cash and 125,440 finder warrants have been paid/issued. The warrants are exercisable at $0.50 for two years.

The securities issued under this financing will be subject to a hold period expiring on June 18, 2026. The shares may also be subject to U.S. resale restrictions under U.S. securities laws.

According to the company, three insiders subscribed for an aggregate of 270,000 Units. The company says this participation is considered a “related party transaction” as defined under Multilateral Instrument 61-101. The company claims that such participation is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101.

The company says the securities have not been registered under the U.S. Securities Act of 1933, or any state securities laws, and may not be offered or sold in the United States without registration or an applicable exemption.
