Fort Technology Inc. Announces Debt Settlement Agreement
Vancouver, British Columbia — December 24, 2025 — Leads & Copy — Fort Technology Inc. (TSXV:FORT) announced it has entered a debt settlement agreement with Jeffs’ Brands Ltd, a control person of the company, to settle outstanding indebtedness of US$2,462,767.00 (CAD$3,367,587.60). The agreement, dated December 24, 2025, involves the issuance of common shares of Fort Technology to the creditor at a price equal to the current market price.
The debt was initially incurred by Fort Products Limited, the company’s UK subsidiary, and Fort Products LLC, its US subsidiary, before being assigned to Fort Technology through assignment agreements dated November 12, 2025.
Securities issued under the debt settlement will be subject to a four-month hold period, as per securities laws. The securities have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States without registration or an applicable exemption.
The issuance of settlement shares to Jeffs’ Brands Ltd, a related party, constitutes a “related party transaction” under Multilateral Instrument 61-101. Fort Technology is relying on exemptions from formal valuation and minority shareholder approval requirements under sections 5.5(a) and 5.7(1)(a) of MI 61-101, as the value of the debt settlement and the securities issued is not expected to exceed 25% of the company’s market capitalization.
The company did not file a material change report 21 days before the expected closing of the debt settlement because the details were not settled until recently and it wishes to close the transaction on an expedited basis.
Fort Technology Inc. obtained approval from disinterested shareholders representing at least 50% of the common shares not held by the creditor, as requested by the TSX Venture Exchange.
