Stellar AfricaGold Closes $4 Million Private Placement
VANCOUVER, British Columbia — November 6, 2025 — Leads & Copy — Stellar AfricaGold Inc. (TSX-V: SPX) announced the successful closing of its non-brokered private placement, raising $4 million. The company issued 22,222,222 units at a price of C$0.18 per unit.
Each unit includes one common share and one-half of one transferable common share purchase warrant. Two half warrants allow the holder to acquire one additional share at $0.28 for 36 months from the issuance date.
The company will allocate the proceeds to finance exploration at the Tichka Est Gold Project in Morocco and the Zuénoula gold property in the Ivory Coast, as well as for general corporate purposes and working capital.
All securities issued are subject to a four-month and one-day statutory hold period, expiring on March 1, 2026, complying with Canadian securities laws.
Finder’s fees were paid, consisting of $111,938.40 in cash, 557,725 finder’s units, and 64,155 non-transferable finder’s warrants. Each finder’s unit includes one common share and one-half of one non-transferable warrant with the same terms as those issued under the offering.
Two company directors subscribed for 677,545 units, totaling $121,958.10, which is a “related party transaction” under Multilateral Instrument 61-101. The company relied on exemptions as the fair market value did not exceed 25% of its market capitalization.
