Windfall Geotek Closes $680,000 Private Placement

Brossard, Quebec — November 7, 2025 — Leads & Copy — Windfall Geotek Inc. (CSE: WIN, OTCQB: WINKF) has announced the closing of a non-brokered private placement, raising $680,000 through the issuance of 34,000,000 units at $0.02 per unit.

Each unit includes one common share and one common share purchase warrant. The warrants allow the holder to acquire an additional common share at an exercise price of $0.05 for 24 months following the closing date.

The securities issued are subject to a statutory hold period of four months and one day from the issuance date, following applicable securities laws.

Finder’s fees totaling $3,850 were paid in cash to certain qualified parties.

The company plans to use the net proceeds to advance its AI-based mineral exploration platform, support its AI technology for unexploded ordnance (UXO) detection, and fund general working capital and research and development activities.
