DUBLIN, Ireland — October 16, 2025 — Leads & Copy — Fusion Fuel Green PLC (Nasdaq: HTOO) has signed a Joint Venture Agreement with Alien Fuel (Proprietary) Limited to establish Biosteam Energy Proprietary Ltd, focusing on the Fairfield Industrial Decarbonization Project in Howick, KwaZulu-Natal, South Africa.
Fusion Fuel holds a 51% stake in Biosteam Energy, while Alien Fuel retains 49%. Biosteam Energy will manage the financing, construction, and operation of a biomass-powered steam generation system at Fairfield Dairy, replacing its fossil-fuel boiler. The system uses carbon-neutral wood pellets from waste biomass, reducing Scope 1 and 2 emissions. It is expected to be operational in Q1 2026.
Fusion Fuel will loan R10 million (approximately €480,000) to fund Biosteam Energy’s management. Biosteam Energy will generate revenue through a steam supply agreement with Fairfield Dairy and carbon credit revenues. The loan will be repaid from free cash flow.
The agreement also grants Fusion Fuel the right of first refusal for new projects offered to Alien Energy, particularly in green energy.
John-Paul Backwell, CEO of Fusion Fuel, said the agreement marks an expansion into industrial decarbonization, combining proven technology and innovative financing. Bruce Johnson, Director of Alien Fuel, noted the alignment of technology and vision in decarbonizing a major facility.
M&A updates: Discussions continue regarding the acquisition of a UK fuel distribution company. An Extraordinary General Meeting will be held on November 7, 2025, to discuss increasing authorized share capital for potential acquisitions.
